UMBRELLA EXOTICS – RENTAL AGREEMENT TERMS & CONDITIONS
BUSINESS ENTITY & ASSUMED NAME DISCLOSURE
This Rental Agreement (“Agreement”) is entered into by and between Umbrella Network Solutions, a Texas business entity, doing business as “Umbrella Exotics” (“UMBRELLA EXOTICS”), and the individual or entity identified as the Renter.
“Umbrella Exotics” is an assumed business name of Umbrella Network Solutions. All rights, obligations, remedies, and liabilities arising under this Agreement belong solely to Umbrella Network Solutions, notwithstanding use of the trade name “Umbrella Exotics.”
1. Definitions
Additional Authorized Driver(s) (“AAD(s)”):
Any individual, in addition to the Renter, expressly authorized by UMBRELLA EXOTICS to operate the Vehicle, including drivers listed on the Rental Agreement Summary and, with Renter’s permission, the Renter’s spouse or domestic partner, provided all eligibility requirements are met.
Optional Accessories:
Items such as child seats, GPS units, ski racks, toll transponders, and other accessories accepted by the Renter.
Vehicle:
The vehicle identified in the Rental Agreement Summary or any authorized replacement vehicle.
Rental Period:
The period beginning when the Renter takes possession of the Vehicle and ending when the Vehicle is returned to UMBRELLA EXOTICS and successfully checked in.
Renter:
The individual or entity identified as “Renter” on the Rental Agreement Summary.
2. Vehicle Condition, Use, and Warranties
2.1. UMBRELLA EXOTICS rents the Vehicle to Renter as described in the Rental Agreement Summary.
2.2. Renter shall return the Vehicle in the same condition as received, reasonable wear and tear excepted, and with the same fuel level and type.
2.3. Vehicle use is limited to the Dallas–Fort Worth metroplex unless prior written authorization is granted.
2.4. Renter represents possession of a valid driver’s license and no legal restrictions.
2.5. Renter must maintain insurance applicable to rental vehicles, including comprehensive and collision coverage.
2.6. Smoking is strictly prohibited. Any evidence of smoking results in forfeiture of the security deposit.
2.7. The Vehicle and all Optional Accessories remain the sole property of UMBRELLA EXOTICS.
2.8. Renter acknowledges inspection opportunity and accepts the Vehicle as safe and operable.
2.9. Renter is not an agent of UMBRELLA EXOTICS.
2.10. Vehicle and Optional Accessories are provided “AS IS”, and all express or implied warranties are disclaimed.
2.11. No alterations or tampering are permitted. Unsafe conditions must be reported immediately.
3. Payment Terms
3.1. Rentals are charged at a minimum of one (1) day unless otherwise stated.
3.2. Renter agrees to pay all charges, including but not limited to:
- Rental charges
- Excess mileage
- Optional Accessories
- Fuel charges
- One-way, AAD, and age-based fees
3.3. Additional charges may include fuel, facility, recovery, licensing, registration, and administrative fees.
3.4. Renter is responsible for all:
- Unauthorized return or recovery charges
- Damage, loss, or theft
- Tolls, fines, citations, and legal costs
- Toll-pass convenience fees
- Late fees (1.5% per month or max allowed by law)
- Taxes and government charges
- Collection costs and attorney’s fees
3.5. Renter authorizes all charges to the payment method on file. Dishonored payments may be re-submitted.
3.6. Security Deposit
- A security deposit equal to the daily rental rate (or stated amount) is required.
- UMBRELLA EXOTICS may deduct charges during or after the Rental Period.
- If depleted, Renter must replenish within 24 hours or rental may terminate immediately.
- Remaining funds are returned within three (3) business days after inspection.
4. Limits on Use and Termination
4.1. The Vehicle may not be:
- Operated by unauthorized drivers
- Used for hire, racing, towing, or illegal purposes
- Driven recklessly or while impaired
- Taken off-road or on unpaved roads
- Used outside authorized areas
- Subleased or assigned
- Used to transport hazardous materials
- Used to test or modify vehicle systems
4.2. Vehicle must be returned on time and in original condition. Deposit release occurs only after inspection (24–72 hours typical).
4.3. Any violation immediately terminates rental rights. UMBRELLA EXOTICS
may repossess without notice.
4.4. Continued use after termination may result in the Vehicle being reported stolen.
4.5. Minor damage (rim rash, paint chips, etc.) will be charged per published pricing.
5. Roadside Assistance
Call 1-800-810-5650. All costs, including towing, are the Renter’s responsibility.
6. Accidents
All accidents, loss, or theft must be reported immediately and no later than the next business day. Renter must cooperate fully.
7. Damage, Loss, or Theft
Renter is responsible for all damage, loss, theft, modification, or vandalism, regardless of fault, except as limited by law. Unauthorized repairs are prohibited.
8. Third-Party Liability
Unless required by law, UMBRELLA EXOTICS provides no insurance coverage. Any required coverage is limited to statutory minimums.
9. Indemnification
Renter shall indemnify, defend, and hold harmless UMBRELLA EXOTICS from all claims arising from the rental or Vehicle use.
10. Personal Injury / UM-UIM
No PIP or UM/UIM coverage is provided unless required by law.
11. Personal Property
No bailment is created. UMBRELLA EXOTICS is not responsible for personal property.
12. Third-Party Payments
Third-party payments reduce Renter’s obligation only to the extent actually received.
13. Power of Attorney
Renter grants limited power of attorney for insurance claims and endorsement of payments.
14. Severability
Unenforceable provisions do not affect the remainder of this Agreement.
15. Limitation of Liability
Liability is limited to replacement of the Vehicle or a pro-rated refund. Consequential and punitive damages are waived.
16. Telematics & Privacy
Vehicle may contain GPS, Video and telematics. Renter consents to data use and releases UMBRELLA EXOTICS from liability. Renter shall NOT tamper with such devices or will forfeit deposit.
17. Headings
Headings are for convenience only.
18. Release of Information
Renter authorizes disclosure to authorities, insurers, and third parties as necessary.
19. Electronic Signatures
Electronic signatures have full legal effect.
20. Governing Law (Texas)
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles.
21. Dispute Resolution; Venue; Jury Waiver
Disputes shall be resolved by:
- Good-faith negotiation
- Mediation in Collin County, Texas
- Binding arbitration under AAA Commercial Rules in Colin County, Texas
Renter waives the right to a jury trial.
22. Clutch & Transmission
Renter accepts responsibility for clutch and transmission damage, even if discovered post-return.
23. Loss of Use / Diminished Value
Renter agrees to reimburse UMBRELLA EXOTICS for:
- Loss of rental income during repair or downtime
- Diminished value, regardless of repair quality
- Administrative, storage, towing, and inspection costs
Loss of use is calculated based on the Vehicle’s average daily rental rate, not actual bookings.
If insurance denies coverage, Renter remains fully liable and may be responsible for damages up to three (3) times the Vehicle’s fair market value, to the extent permitted by Texas law.
24. Liquidated Damages
Renter acknowledges that certain breaches (including reckless driving, unauthorized use, smoking, speeding violations, late return, or misuse) cause damages that are difficult to precisely calculate.
Accordingly, Renter agrees that liquidated damages, including forfeiture of deposits and assessed fees, represent a reasonable pre-estimate of actual damages and are not a penalty, enforceable under Texas law.
25. Accident Procedure
Renter must:
- Notify UMBRELLA EXOTICS within 3 hours
- Complete a claim form within 24 hours
- Obtain witness and party information
- Report to police within 24 hours
- Secure Vehicle and keys
- Cooperate fully with investigations
26. Assignment of Insurance Benefits
Renter assigns all insurance rights to UMBRELLA EXOTICS
and authorizes direct payment.
27. Odometer Tampering
Mileage will be deemed 500 miles per day plus fines, penalties, legal costs, and an 18% service fee.
28. Speeding, Aggressive Driving, and Telematics Enforcement
Speed over 90 MPH more than three (3) times, 105 MPH once, or hard acceleration/reckless driving results in immediate termination and forfeiture up to the full security deposit.
29. Cancellation & Refund Policy
You may cancel within 24 hours of booking for a full refund minus a 2.9% processing fee, provided the cancellation is made more than 24 hours before the scheduled rental start time.
Cancellations made within 24 hours of the scheduled rental start time are not permitted, and all payments are non-refundable.
No refunds will be issued if the Renter is unable to take possession of the Vehicle due to:
- An invalid, suspended, expired, restricted, or unacceptable driver’s license;
- Failure to provide proof of insurance meeting the requirements of this Agreement; or
- Insurance denial, exclusion, or refusal to cover the Vehicle, including exotic or high-value vehicles.
In such cases, the inability to complete the rental shall be deemed a Renter default, not a cancellation.
30. Payment Authorization & Chargeback Waiver
30.1. Renter authorizes authorization holds, incremental authorizations, partial captures, and post-rental charges.
30.2. Renter agrees not to initiate chargebacks for authorized transactions.
30.3. UMBRELLA EXOTICS may submit this Agreement, inspection reports, telematics data, photos, and invoices as dispute evidence.
30.4. Renter is liable for all dispute fees, administrative costs, and collection expenses.
30.5. Renter agrees to contact UMBRELLA EXOTICS before disputing any charge.
31. Insurance Requirements (Mandatory – Applies to Entire Agreement)
31.1. Required Insurance Coverage.
Renter shall maintain active, primary automobile insurance that applies to rental, exotic, and high-value vehicles for the entire Rental Period, with coverage limits meeting or exceeding the following minimums:
Collision Coverage
- Minimum limit:
$250,000 to $300,000 per occurrence, depending on the Vehicle rented
- Coverage must apply regardless of fault and include loss caused by collision, rollover, or impact
Comprehensive Coverage
- Coverage sufficient to cover the full replacement value of the Vehicle, including theft, vandalism, fire, weather, and animal damage
Deductible
- Deductible may not exceed $5,000, unless expressly approved in writing by UMBRELLA EXOTICS
31.2. Proof of Insurance Requirement.
Renter must provide acceptable proof of insurance prior to vehicle release, including:
- Declaration page
- Policy number and insurer
- Effective dates covering the entire Rental Period
- Renter listed as a named insured
- Coverage limits clearly shown
Failure to provide or maintain acceptable insurance may result in:
- Immediate cancellation of the rental without refund
- Increased security deposit
- Denial or termination of vehicle release
- Immediate repossession of the Vehicle
31.3. Primary Coverage; No Reliance on Owner Insurance.
Renter’s insurance shall be primary. Any insurance maintained by UMBRELLA EXOTICS is excess only, unless otherwise required by law.
Renter agrees not to rely on, claim against, or assert coverage under any insurance maintained by UMBRELLA EXOTICS.
31.4. Insurance Denial or Insufficient Coverage.
If Renter’s insurance:
- Denies coverage
- Provides insufficient limits
- Excludes exotic or rental vehicles
- Is voided, lapsed, or canceled
Renter remains personally and financially responsible
for all damages, including:
- Repair costs
- Loss of use
- Diminished value
- Administrative, towing, storage, and inspection fees
This responsibility applies regardless of fault and survives termination of the rental.
Insurance Acknowledgment:
Renter certifies that they maintain the insurance coverage required by this Agreement and understands that failure to do so results in full personal financial responsibility for all damages, loss of use, and related charges.
Acknowledgment
By signing electronically, Renter acknowledges having read, understood, and agreed to all terms and conditions of this Agreement, including payment authorization, dispute procedures, and damage responsibility.
